For the purposes of these Terms and Conditions, the following terms have the meanings set out below:

• "The Company" or "Rebel Agency" – Refers to the entity that owns and operates the services available on this Website and its associated Telegram channel.
• "Website" – Refers to the official website of REBEL AGENCY, where information, services, and access to account management for Users are provided.
• "Telegram Channel" – Refers to the Telegram platform through which Rebel provides customer support, service updates, and account management.
• "User" or "You" – Refers to any individual or entity accessing or using Rebel's Services, whether directly or as a representative of an organization.
• "Services" – Encompasses all services offered by Rebel, including but not limited to the sale and management of TikTok agency advertising accounts ("Ad Accounts"), Business Centers (BC30/BC300/BC500), aged spend accounts and account top-ups, as well as related updates, guidance, and performance reviews.
• "Ad Accounts" – Refers to the TikTok agency advertising accounts managed by Rebel, which provide access and support for Users in promoting and managing content on the TikTok platform.
• "Payment Method" – The authorized payment source provided by the User to cover fees associated with Rebel's services, including credit/debit card, direct bank transfers, crypto or other acceptable forms of payment.
• "No Refund Policy" – A policy stating that all payments for services offered by Rebel are non-refundable, with no exceptions.
• "Inactive Account" – An account that has not been used or accessed by the User for a period exceeding 30 days.
• "GDPR" – General Data Protection Regulation, a European Union Law that governs the processing and protection of personal data.
• "Personal Data" – Any information that can identify a User, either directly or indirectly, as defined under GDPR.
• "Intellectual Property" – Includes all content, trademarks, and materials provided by Rebel, protected under intellectual property laws.
• "License" – The non-exclusive, non-transferable right granted to Users to access and use Rebel's Services as intended and agreed between the Company and the User.
• "Termination of Access" – The discontinuation of a User's access to Rebel Services due to a breach of these Terms and/or inactivity and/or after the User's will to terminate.
• "User-Generated Content" – Content submitted by Users, including feedback, suggestions, and other contributions made for service improvement.

By accessing or using the services offered by Rebel through this Website or its Telegram Channel, you consent and are bound to these Terms and Conditions, which govern all access and use of our services, including but not limited to the sale and management of TikTok agency Ad Accounts, Business Centers, aged spend accounts and top-up services (collectively, the "Services"). If you do not agree to these Terms, you may not access or use the Service.

2.1 Rebel facilitates the sale and management of Ad Accounts, Business Centers and related infrastructure. Service-related communication and transactions are conducted via Telegram.

2.2 Whitelisted agency Ad Accounts are subject to a brief traffic review prior to provisioning. Business Centers, aged spend accounts and top-ups are delivered without prior vetting.

3.1 Ad Accounts: A flat 2% fee is applied on Ad Account spend processed by our team, calculated on the amount received.

3.2 Business Centers and Aged Accounts: Priced per unit at the rate quoted at the time of sale.

3.3 Top-Ups: Available via card or crypto. Fees, where applicable, are disclosed prior to processing.

3.4 Rebel reserves the right to modify service prices at any time.

4.1 All purchases of Ad Accounts, Business Centers, aged spend accounts and top-ups are strictly non-refundable. Once a service is delivered, it is immediately customized and used for the User's business. Because these digital goods are non-returnable, all sales are final. By purchasing, you acknowledge and agree that refunds will not be issued for any reason, including dissatisfaction or account suspension due to breach of the Terms. This policy applies without exception to all Users, including those within the EU.

4.2 By accepting these Terms and purchasing our Services, you acknowledge and waive your right of withdrawal in accordance with Article 16(m) of the EU Consumer Rights Directive 2011/83/EU, which specifies that the 14-day withdrawal period does not apply to the supply of digital content not supplied on a tangible medium, once the performance has begun with the consumer's prior express consent.

4.3 Accounts inactive for over 30 days may be suspended, and reactivation may not be available.

5.1 The Company is neither affiliated with nor endorsed by TikTok, Inc. or Telegram FZ-LLC. The Services provided are independent and not associated with these platforms.

5.2 The Services are offered "as is" and "as available," without warranties of any kind. Rebel disclaims any liability for direct, indirect, incidental, special, or consequential damages arising from the use of its Services.

6.1 Each Party agrees that this Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by the laws of the jurisdiction where the Company is incorporated.

6.2 Each Party irrevocably agrees that any dispute, controversy or claim arising out of or in connection with this Agreement shall be finally resolved in the competent courts of that jurisdiction.

7.1 Rebel processes personal data in compliance with the GDPR and relevant data protection laws, as outlined in our Privacy Policy.

7.2 Users have rights to access, correct, or delete their personal data. While Rebel takes reasonable measures to protect user data, it cannot guarantee absolute security.

7.3 Users must ensure the accuracy of their details and secure their login credentials.

8.1 Users agree to utilize the Company's Services lawfully and refrain from activities that:

• a) Breach laws or regulations;
• b) Compromise the Service's integrity;
• c) Violate REBEL AGENCY's intellectual property rights or misrepresent affiliations.

8.2 Breaching these obligations may result in suspension or Termination of Access.

Upon purchase of any of the Services, Rebel grants a non-exclusive, non-transferable license to access and use the Ad Accounts or related infrastructure as intended. Redistribution, resale, or modification without consent is prohibited.

10.1 All content provided by Rebel, including Ad Accounts, themes, and documentation, is proprietary to REBEL AGENCY. Unauthorized use or reproduction is strictly prohibited.

10.2 Users agree to respect Rebel's intellectual property rights and refrain from extracting or modifying proprietary resources without authorization.

11.1 While Rebel aims to provide continuous access, service interruptions may occur due to maintenance or other unforeseen circumstances, with advance notice provided when feasible.

11.2 In the event of permanent discontinuation of services, users will retain access to purchased items without further updates or support.

11.3 Rebel reserves the right to update, enhance, or modify its Services and Users shall be notified of significant updates.

By submitting content, you grant Rebel a non-exclusive license to use, modify, and distribute it for service improvement purposes, while retaining ownership.

If a provision or part-provision of these Terms is held by a court or any other authority of competent jurisdiction as unenforceable it shall be considered modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Such modification under this clause will not impair the validity and enforceability of the rest of the Terms.

Rebel provides its Services as designed and assumes no responsibility for compatibility with third-party software or code.

15.1 The User may terminate access to the Services at any time, with or without cause, by contacting our support team via Telegram. As stated above, no refunds will be made under any circumstance.

15.2 Rebel reserves the right to terminate or suspend access to the Service without prior notice in the event of Terms violations.

The Company reserves the right to amend or update these Terms at any time. Notice of changes will be posted on the Website, and continued use of the Services constitutes acceptance of the revised Terms.

You agree to indemnify and hold REBEL AGENCY, its officers, directors, and employees harmless from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with your use of the Ad Accounts or Website or any other intellectual property of the Company or violation of these Terms.

Any information provided by the Company that is not public knowledge, including but not limited to pricing, marketing plans, business strategies, and any access information to the Services, is considered confidential and breach of this Confidentiality clause shall constitute breach of the Terms.

REBEL AGENCY hereby declares and assures the holder of the card issued and authorized for use (the "Card Holder") in connection with our services and in accordance with TikTok's guidelines, that we are neither authorized nor have the capability to approve any payments or take any actions regarding the Card Holder of the card. All information collected is solely for the purpose of enabling the Card Holder to utilize our services. We shall not be held responsible for any matters beyond the collection of this necessary data, which is required by TikTok to provide our services.
